Terms of Service

These Terms govern your use of AgrifoodQuote, operated by EUCan AgriSolutions Inc. ("we", "us", "our"), Toronto, Ontario, Canada, including agrifoodquote.com, tariffs.agrifoodquote.com, the application and related guides and tools (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you confirm you are authorised to accept these Terms on its behalf, and "you" includes that business.

1. The Service

AgrifoodQuote helps food and agricultural suppliers turn buyer inquiries into structured requests, assess them, and prepare quotes. The Service is intended for business use. We may improve, change or discontinue features over time.

2. Your account

You must be at least 18 and provide accurate information. You are responsible for keeping your login secure and for activity under your account. Tell us promptly at info@canlagrifood.com if you suspect unauthorised access.

3. Plans, trials and billing

Plans. We offer a Free plan and a paid Pro plan. The features, monthly usage limits and prices shown on our Pricing page at the time of purchase apply. Prices are in Canadian dollars. Applicable taxes may be added.

Payment. Paid plans are billed in advance, monthly or annually, through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period until cancelled.

Free trial. First-time Pro subscribers may receive a 14-day free trial. A payment card is required. Unless you cancel before the trial ends, your card is charged when the trial ends and your subscription continues. One trial per customer.

Cancellation. You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You keep access until then and are not charged again.

Refunds. Fees are non-refundable, and we do not provide refunds or credits for partial billing periods, except where required by law or at our discretion.

Failed payments. If a payment fails and is not resolved, we may move your account to the Free plan.

Price changes. We will give at least 30 days' notice of a price change. It applies from your next renewal after the notice period. You can cancel before then.

Usage limits. Each plan includes a monthly inquiry limit. Unused allowance does not carry over.

4. Your content

You own the content you submit, including inquiries, quotes, prices and notes. You grant us a limited licence to host, copy, process and transmit it — including to our AI and infrastructure providers — only as needed to provide, secure and support the Service. You are responsible for your content and confirm you have the right to submit it, including any personal information about your buyers, and a lawful basis to use that information. Please do not submit information the Service does not need, such as bank details or sensitive personal information.

5. AI outputs and advisory information — important

The Service uses artificial intelligence and reference data. Structured inquiry data, inquiry assessments and scores, draft replies and quote emails, HS code suggestions, duty and tariff notes, the tariff tracker, Incoterm hints, pack and container calculations, guides and the Export Readiness Check are provided for information and convenience only. They may be inaccurate, incomplete or out of date.

  • They are not legal, customs, tax, trade-compliance or financial advice.
  • Tariff and duty information is illustrative and is not an official source. Confirm classifications, duties and requirements with a licensed customs broker and the relevant official authorities before acting.
  • You set every price and term. The Service never sets prices for you.
  • Review every draft before sending it. The Service does not send emails to your buyers on your behalf.

You are responsible for your quotes, commitments and decisions, and for checking any output before relying on it.

6. Acceptable use

You agree not to: break any law or regulation, including export controls and sanctions; send spam or unlawful communications; infringe anyone's rights; upload malware; attempt to access other accounts or data; probe, scan or bypass security or usage limits; scrape, copy or reverse engineer the Service; resell or provide the Service to third parties without our written permission; or use the Service to build a competing product.

7. Our intellectual property

The Service, including its software, design, brand and guide content, belongs to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.

8. Third-party services

The Service relies on third-party providers, such as Stripe for payments. Your use of those services may be subject to their own terms. We are not responsible for third-party services we do not control.

9. Availability

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted, error-free or available at all times. We may carry out maintenance and updates.

10. Suspension and termination

You can stop using the Service and delete your account at any time from Settings. We may suspend or end your access if you materially breach these Terms, fail to pay, misuse the Service, or if we must do so for legal or security reasons. Where reasonable, we will give notice and a chance to export your data. After deletion, your data is handled as described in our Privacy Policy. Sections 4 to 7 and 11 to 15 survive termination.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, deals or data, or for duties, tariffs, customs penalties or shipment costs arising from reliance on the Service. Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and CAD $100. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You will indemnify us against claims, losses and costs arising from your content, your use of the Service in breach of these Terms, or your violation of any law or third-party rights.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts located in Toronto, Ontario have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim elsewhere. Nothing in these Terms removes rights you have under mandatory consumer protection laws.

15. General

These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us about the Service. If any part is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets. We are not responsible for delays caused by events beyond our reasonable control. We may send notices to the email address on your account.

16. Changes to these Terms

We may update these Terms. We will post the updated version here with a new date and, for material changes, notify account holders by email or in the app at least 15 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
